Job Opportunity:
BHSI has an exciting opportunity to join our established Transactional Liability team as a Representation & Warranty Insurance (RWI) Underwriter. The Transactional Liability team provides insurance in connection with Mergers & Acquisitions and other transactions, including Representation and Warranty Insurance, Tax Insurance, and Contingent Liability Insurance. In this role, the RWI Underwriter will collaborate with our Transactional Liability team to execute Representation and Warranty Insurance deals across a wide range of industry sectors. Key responsibilities will include: building relationships with distribution partners (insurance brokers and law firms) and customers; analyzing risk and exercising judgment to offer appropriate policy terms; evaluating due diligence and managing specialist advisors to assist as necessary; reviewing and negotiating transaction agreements and policy documentation; and proactively responding to changes in the M&A environment that could impact risks.
We are considering candidates in our New York City, Boston, Atlanta, Chicago and Houston offices, although we are willing to consider other locations depending on individual circumstances.
Duties & Responsibilities:
Establish, develop and broker, law firm and customer relationships
Review transaction materials to understand target company profiles and provide preliminary terms
Underwrite M&A transactions in an expedient and thoughtful manner, focusing on the diligence process and scope of representations
Engage and manage outside counsel and specialist advisors to assist with underwriting review
Draft and negotiate RWI insurance policies
Maintain awareness of the competitive environment in, and the unique risk profile of, the product line
Qualifications, Skills and Experience:
A minimum of three years of related experience required; however, candidates with more experience are encouraged to apply.
Prior experience with Representation and Warranty Insurance and/or an M&A legal background preferred, but not required
Ability to work within a team in a fast-paced environment and make quick decisions while maintaining underwriting integrity
Strong analytical and problem-solving skills
Careful attention to detail
Strong communication skills, both verbal and written, and desire to build industry relationships

The base salary range for this position is $150,000 to $250,000, along with annual bonus eligibility. Total compensation for a candidate is determined by their relevant skills, location, and experience. Compensation
