EXL seeks an accomplished Assistant General Counsel, Litigation & Commercial Contracting, to join its Legal & Compliance team. Reporting to the EVP, General Counsel & Corporate Secretary, and working closely with the SVP, Chief Compliance Officer & Deputy General Counsel - Litigation & Regulated Services, this senior role is central to managing litigation, commercial contracting, and select employment law matters across EXL’s global business lines.

The Assistant General Counsel will oversee the full lifecycle of litigation, including employment disputes, contract claims, and intellectual property matters, coordinating with outside counsel in both U.S. and international jurisdictions. The role involves developing litigation strategies, managing risk exposure, and ensuring cost discipline, while partnering with business operations, HR, and Finance to support discovery and legal hold obligations. The position also requires monitoring regulatory and judicial developments relevant to the business services and technology sectors.

On the employment front, the role provides day-to-day legal counsel to HR and business leaders on hiring, employee relations, performance management, and separations, as well as managing pre-litigation employment claims and related proceedings. The Assistant General Counsel will also advise on employment-related provisions in commercial and vendor agreements.

In commercial contracting, the successful candidate will draft, review, and negotiate complex agreements—including master services, SaaS, NDAs, and vendor contracts—serving as primary legal support to multiple business units. Responsibilities include advising on contractual risk, data privacy, and security requirements, and collaborating with cross-functional teams to mitigate legal exposure at the deal structuring stage. The role also leads post-execution contract management, including renewals, terminations, and dispute escalations.

The ideal candidate holds a J.D. from an accredited law school, is an active member of the bar (New York preferred), and brings 8–12 years of combined experience in commercial litigation and contracting, preferably within technology services, business process management, or professional services. A proven track record in managing complex litigation, negotiating large-scale commercial agreements, and providing clear, business-oriented legal guidance is essential. Experience supporting global operations, familiarity with AI governance or technology licensing, and a background in high-growth, publicly traded environments are preferred.
