About the role
Key Responsibilities
Own the end-to-end lifecycle of all investments related documentation - from obtaining and verifying documents through to closure, ensuring accuracy, completeness, and timely processing.
Review Non-Disclosure Agreements (NDAs), Shareholders//' Agreements (SHA), Share Subscription Agreements (SSA), Private Placement Memorandums (PPMs), Contribution Agreements, and other investment-related documents to identify potential pitfalls, unfavorable clauses, or risks to the investor - and negotiate to ensure favorable terms.
Maintain organized records and trackers of transaction documents, agreements, and their key terms and milestones.
Coordinate with legal, compliance, finance, and investment teams to ensure documentation and processes move forward without bottlenecks.
Manage post-investment matters - track compliances of portfolio companies and review their AGM/EGM notices and other filings. Ensure that the investor’s rights and obligations are tracked and actioned.
Manage documentation for follow-on investments, secondary transactions, and exits.
Monitor investment covenants and reporting obligations owed by portfolio companies, escalating breaches or delays as needed.
Schedule and coordinate calls and meetings across internal and external stakeholders, ensuring timely follow-through on action items.
Take full ownership of assigned processes end-to-end, proactively resolving issues rather than escalating routine matters.
Support the team on ad hoc operational, documentation, and process-improvement tasks as they arise.
Qualifications & Experience
Bachelor’s degree in Commerce or Business Administration or Law
8-10 years of experience in investment operations, fund operations, legal/compliance documentation, or a related function
Key Skills & Competencies
Ability to comprehend legal and financial documents (SHA, SSA, and similar agreements) with an eye for risk and investor protection.
High diligence and attention to detail; comfortable working with documentation-heavy, deadline-driven processes.
Strong coordination and stakeholder management skills across internal departments and external parties.
Excellent organizational skills, with the ability to manage multiple documents, timelines, and follow-ups in parallel.
Strong written and verbal communication skills.
High sense of ownership and accountability; able to work independently once given a mandate.
Working knowledge of MS Office applications (Excel, Word, Outlook)
Bachelor//'s degree required; a background in law or finance is preferred.
