About the role
We’re looking for an experienced and proactive Group Company Secretary to join Specialist Risk Group. This is a pivotal role supporting corporate governance and statutory compliance across a diverse portfolio of regulated and non-regulated entities. You’ll work closely with senior management and stakeholders, helping to strengthen governance frameworks, support board effectiveness, and ensure the organisation continues to meet its legal and regulatory obligations.
You’ll take ownership of company secretarial and governance activities across the Group, supporting boards, shareholders, and senior leadership while ensuring compliance with statutory and regulatory requirements.
What you’ll be doing
Managing board and committee processes, including agendas, papers, meetings, and accurate minute-taking
Supporting shareholder relations, including equity issuances, register updates, and investor communications
Maintaining statutory registers, filings, and company records in line with Companies Act requirements
Supporting M&A activity, including governance integration, KYC checks, and post-transaction updates
Lead on key corporate actions including group restructurings and director changes
Advising on corporate governance matters and monitoring regulatory or legislative changes
Acting as a central contact for KYC, diligence, and governance-related requests across the Group
Who we’re looking for
You’ll bring strong company secretarial expertise with the confidence to work closely with senior stakeholders in a fast-paced, growth-focused environment.
Proven experience in a Group Company Secretary or Deputy Company Secretary role, ideally within a large corporate organisation
Strong knowledge of UK corporate governance and the Companies Act 2006
Experience supporting boards and managing board processes and documentation
Understanding of corporate transactions, including M&A and entity restructuring
Ability to manage multiple priorities in a fast-paced environment while maintaining high attention to detail
Excellent communication, drafting and stakeholder management skills and comfortable working with external advisers
Exceptional attention to detail, ensuring accuracy and professionalism across corporate records, data management, board documentation, and presentations.
Strong digital proficiency, comfortable using AI-enabled tools, DocuSign, and the Microsoft 365 suite to manage processes efficiently and accurately.
