Description/Job Summary
To provide transactional support to the LP Transfers team including client liaison, deal execution, post-closing management and general administration tasks.
Responsibilities/Duties
Client & Third Party Liaison:
Liaising with clients and investors on a daily basis regarding the legal documentation, CDD/AML requirements, and the overall transfer process.
Regularly updating supervising lawyers on progress of transfers and discussing document preparation and negotiation processes.
Keeping paralegal colleagues up-to-date on important developments in your own transfers.
Document Drafting:
Drafting a variety of documents including LP transfer deeds and agreements, NDAs, closing suites (board minutes, written resolutions, form LP6s, and Gazette notices) and other documentation (e.g. due diligence and PTP questionnaires).
Document Negotiation:
Reviewing investors’ comments on the transfer documentation, discussing with supervising lawyers, drafting responses, and contributing to negotiation conference calls with investors and their advisors, as and when required.
General Paralegal duties:
Monitor group and personal emails for work requests
Prioritize work to manage time effectively and meet deadlines
Prepare for and attend departmental meetings and training sessions
Review documents/agreements - proofread, review defined terms and cross-references
Research using external subscription services (PLC, Westlaw, LexisNexis)
Maintaining / updating closing checklists and providing ongoing status updates
Conforming execution versions of documents
Creating document closing “bibles”
General administration tasks and other ad hoc duties as required
Required Skills
Educated to at least a bachelor’s degree level in law (or equivalent)
I.T. literate with a good knowledge of and competency in the use of Microsoft Word, Microsoft Excel, Adobe PDF, Filesite and iManage
Previous paralegal experience working in a professional services environment preferred
Excellent organisational skills and attention to detail essential
Excellent communication skills with the ability to communicate with partners, clients and staff at all levels
Motivated self-starter who is a good team player and able to use their initiative
Flexibility - overtime will be required from time to time at short notice, to meet the needs of the client.

Salary and Benefits: Competitive
Hybrid: Monday-Thursday in office, ability to WFH on Fridays
