Manager, Legal Counsel – Office Hybrid (60% office-based) in Leopardstown, Dublin 18

Assisting with and managing other special corporate projects to completion in an efficient What you will be doing:
Advising on mergers and acquisitions, investments and other strategic transactions at all stages, from performing due diligence, drafting and negotiating term sheets and transaction documentation, and supporting closing transactions and post-closing integration
Providing legal support on debt financing transactions, e.g. term loans, revolving credit facilities, bond issuances and ongoing advice on debt documents following completion
Advising on and managing internal reorganisations in multiple jurisdictions, which remains ongoing in connection with ICON’s 2021 acquisition of PRA Health Sciences
Assisting with and managing other special corporate projects to completion in an efficient manner and with a team-oriented approach
Drafting and assisting with the preparation of related board and committee meeting materials
Engaging and liaising with external advisors across multiple jurisdictions
Collaborating with ICON’s corporate development, finance, treasury, HR and tax teams sometimes across multiple jurisdictions
Managing and prioritizing workload to comply with stakeholder deadlines
What you will need:
Qualified lawyer (4-6 years PQE)
M&A, corporate and banking transaction and reorganization experience working in-house or for a law firm
Self-starter with the ability to work under their own initiative with a strong work ethic
Strong organizational and time-management ability
First-rate attention to detail
Ability to work to deadlines, manage multiple projects and deliver under pressure to a high standard
Excellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organization
Good business, risk awareness and problem-solving skills with the ability to act/think strategically, logically and commercially
Proven team player with demonstrated analytical and communication skills
Trustworthy, discreet and tactful while handling confidential and sensitive information
Ability to manage external counsel across multiple jurisdictions to ensure transactional deadlines are met
Ambition to grow within legal team over time
