Chief Compliance Officer

Our client, a global hedge fund based in New York City, is seeking an outstanding candidate to serve as their Chief Compliance Officer. This role will serve as the firm's senior compliance authority and SEC-designated CCO under Rule 206(4)-7 of the Investment Advisers Act. The role combines strategic regulatory leadership with hands-on program ownership across the hedge fund and private investment strategies. You will design, run, and continuously improve the compliance program — partnering with the Chief Operating Officer and the front office to embed compliance into the firm's day-to-day decision-making. We are seeking a CCO who also has a law degree, as this role will, in the near future, also encompass all legal issues and will serve as the General Counsel.

Responsibilities for this role include the following:

Regulatory Program Ownership

Serve as SEC-designated Chief Compliance Officer under Rule 206(4)-7; own all related rule and policy administration.

Maintain, test, and continually enhance the firm's written compliance policies and procedures across the Firm.

Lead the firm's annual compliance review and report findings directly to the COO.

Manage all SEC examinations, regulatory inquiries, and routine filings (Form ADV, Form PF, Form 13F, Section 16, Schedules 13D/G, CFTC/NFA filings where applicable).

Trading & Investment Compliance

Oversee personal trading, restricted lists, watch lists, and MNPI controls across investment teams.

Monitor portfolio compliance with fund mandates, investment guidelines, side letters, and LP-specific restrictions.

Administer trade allocation policies and best-execution oversight.

Manage valuation policy compliance for illiquid private equity positions in coordination with the Valuation Committee.

Private Equity-Specific Compliance

Oversee LPA compliance, side letter tracking, and MFN obligation management across PE funds.

Manage co-investment allocation policies and conflict-of-interest reviews.

Lead compliance diligence on portfolio company transactions, including beneficial ownership, sanctions screening, and antitrust pre-clearance.

Support fund formation and LP onboarding from a regulatory and AML perspective.

AML, KYC & Sanctions

Own the firm's AML, KYC, and OFAC sanctions screening programs for investors, counterparties, and portfolio companies.

Serve as the firm's AML Officer; coordinate with administrators and outside counsel on enhanced due diligence.

Marketing, Distribution & Investor-Facing Compliance

Review and approve all marketing materials, pitch decks, DDQs, and investor communications under the SEC Marketing Rule (Rule 206(4)-1).

Maintain performance presentation standards and substantiation files.

Oversee pay-to-play (Rule 206(4)-5) and political contribution monitoring.

Review cap intro arrangements, placement agent relationships, and solicitor agreements.

Applicants must have a JD degree and seven to twelve years of strong compliance experience with a financial institution.
